1. Agreement to Terms

Welcome to AI Innerscope Technology Private Limited (“Company”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and the Company governing your access to and use of our website, software-as-a-service platform, including our School ERP and related products and services (collectively, the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. Use of the Service is conditional upon your acceptance of these Terms and our Privacy Policy and Refund Policy, which are incorporated herein by reference.

2. Definitions

“Service” means the Company’s SaaS platform, website, applications, APIs, and all features, tools, and functionalities made available by the Company, including but not limited to School ERP software and subscription-based offerings.

“User” means any individual or entity that accesses or uses the Service, including authorised representatives of schools or institutions.

“Subscription” means the fee-based access to the Service for a specified period as selected by the User.

“Content” means all information, data, text, files, and materials uploaded, submitted, or transmitted through the Service by you or on your behalf.

“Payment Gateway” means the third-party payment processor(s) through which payments for the Service are processed.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years of age or have the authority to bind an organisation to these Terms. If you are using the Service on behalf of a school or institution, you represent that you have the authority to bind that entity and to accept these Terms on its behalf.

3.2 Account Creation and Security

To access certain features of the Service, you must register for an account. You agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) maintain the security and confidentiality of your account credentials; and (d) accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorised access or breach of security.

4. User Obligations and Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and applicable laws, including the Information Technology Act, 2000 and rules thereunder. You agree NOT to:

• Use the Service in any way that violates any applicable Indian or local law or regulation.
• Engage in any fraudulent, deceptive, or illegal activity.
• Use automated systems (including bots, scrapers, or scripts) to access the Service without our prior written permission.
• Collect or harvest information about other users or the Service without consent.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Transmit spam, unsolicited communications, or advertisements through the Service.
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
• Attempt to gain unauthorised access to the Service, other accounts, or our systems or networks.
• Upload or transmit any viruses, malware, or other harmful code.
• Infringe any intellectual property, privacy, or other rights of the Company or any third party.

We reserve the right to suspend or terminate your access to the Service for any breach of this clause.

5. Subscription and Billing Terms

The Service is offered on a subscription basis. By subscribing, you agree to pay all fees associated with your chosen plan as displayed at the time of purchase. Fees are payable in advance for the subscription period (e.g., monthly or annually). All fees are in Indian Rupees (INR) unless otherwise stated. You are responsible for any applicable taxes, including GST.

Payments are processed through our designated Payment Gateway(s). By making a payment, you agree to the Payment Gateway’s terms and to provide accurate payment information. We do not store your full card or bank account details on our servers; payment data is handled by the Payment Gateway in accordance with applicable PCI-DSS and RBI guidelines. Subscription fees are generally non-refundable except as set out in our Refund Policy. We reserve the right to modify our pricing upon reasonable notice; continued use after such change constitutes acceptance of the new pricing.

6. Intellectual Property Rights

The Service, including but not limited to its software, design, text, graphics, logos, and all content provided by the Company (excluding User Content), is owned by AI Innerscope Technology Private Limited and is protected by Indian and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes in accordance with these Terms.

You retain ownership of Content you submit through the Service. By submitting Content, you grant us a worldwide, royalty-free, non-exclusive licence to use, store, reproduce, modify, and display such Content as necessary to provide, operate, and improve the Service. You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service or our intellectual property without our prior written consent.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied.
• We do not warrant that the Service will be uninterrupted, secure, or error-free.
• In no event shall the Company, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business opportunity) arising out of or in connection with your use of the Service.
• Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless AI Innerscope Technology Private Limited, its directors, officers, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any Content you submit or transmit through the Service.

9. Termination

We may suspend or terminate your account and access to the Service immediately, without prior notice, for any breach of these Terms or for any conduct we deem harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately.

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of any prepaid fees except as provided in our Refund Policy. Upon termination, we may delete or retain your data in accordance with our Privacy Policy and applicable law.

10. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Gurugram, Haryana. The arbitration shall be conducted in the English language. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Subject to the dispute resolution clause above, the courts at Gurugram, Haryana shall have exclusive jurisdiction over any legal proceedings arising out of or relating to these Terms or the Service.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect, by posting the updated Terms on our website and/or notifying you via email or through the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.

13. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
